About the Opportunity
Contribute to finance team functions during the diligence process by partnering with Corporate Development M&A to evaluate the financial merits of potential transactions. This includes identifying diligence findings impacting business modelling and valuations as they relate to internal and external financial reporting, US GAAP accounting, cashflows, and working capital projections.
Identify cross-functional interdependencies and gaps between finance and operational teams that require attention before or after deal close.
Review definitive agreements ensuring adequacy of representations and indemnities to cover financial and reporting risks identified during diligence.
Support net working capital analysis and negotiations, including determining target net working capital levels and executing post-close calculations and settlements.
