Responsibilities
- Draft and Structure Agreements: Create, review, and negotiate a diverse range of commercial contracts—including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), and SaaS/licensing agreements—translating commercial goals into robust legal terms.
- Lead Negotiations: Manage contract negotiations with external vendors, clients, and counterparties to secure favorable legal and commercial terms that minimize corporate exposure.
- Advise Stakeholders: Serve as a trusted legal resource for internal teams (such as Procurement, Sales, IT, and Finance), providing pragmatic advice on contract terms, risk trade-offs, and compliance.
- Mitigate Legal Risks: Identify and analyze potential legal risks within commercial agreements, focusing on key elements like liability, indemnification, intellectual property rights, data privacy, and termination conditions.
